合同結(jié)構(gòu)設(shè)計(jì)、制作及談判技能高級(jí)培訓(xùn)班

課程安排


本次培訓(xùn)的目標(biāo):在前幾期合同結(jié)構(gòu)設(shè)計(jì)、起草及談判培訓(xùn)班的基礎(chǔ)上,以并購(gòu)合同為示例,通過(guò)合同結(jié)構(gòu)設(shè)計(jì)原理剖析、合同條款詳解以及實(shí)戰(zhàn)演練,從中觀及微觀層面進(jìn)一步傳授國(guó)際律師處理復(fù)雜的商事項(xiàng)目時(shí)所應(yīng)具備的核心技能。學(xué)員通過(guò)本次培訓(xùn),除掌握并購(gòu)合同的結(jié)構(gòu)和條款細(xì)節(jié)外,還應(yīng)體驗(yàn)復(fù)雜的商事合同起草及談判的動(dòng)態(tài)模式,力爭(zhēng)做到知其然、知其所以然,以進(jìn)一步鞏固在此前培訓(xùn)項(xiàng)目中所掌握的律師執(zhí)業(yè)核心技能。此外,本次培訓(xùn)還將邀請(qǐng)資深專業(yè)人士及相關(guān)政府官員對(duì)即將實(shí)施的 《關(guān)于外國(guó)投資者并購(gòu)境內(nèi)企業(yè)的規(guī)定》進(jìn)行專門講評(píng)。

Course Objectives: Building on prior training sessions on contract structuring, drafting and negotiation skills, and using M&A contract as illustration, the lecturers intend to further explore the core legal skills required for handling complex commercial transactions at both intermediate and micro levels. The participants shall experience the dynamics of complex commercial contracts structuring, drafting and negotiation, and strive to gain an understanding of the “how” and ”why” of intricate decision makings by experienced M&A lawyers, and strengthen their grasp of the practical skills acquired during prior training sessions. Finally, experienced professionals and regulators will comment on the impact of the latest Measures Governing Acquisition of Domestic Enterprises by Foreign Investors on Chinese and global M&A deals.
